Terms of Service

1. Introduction and Acceptance

Welcome to Luxridex. These Terms of Service ("Terms") govern your access to and use of the Luxridex platform, including our website, mobile applications, and related services (the "Platform"). The Platform connects passengers seeking transportation with independent drivers in the District of Columbia, Maryland, and Virginia (the "DMV Region").

These Terms apply to all users — both passengers and drivers. By creating an account, accessing, or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any applicable policies referenced here.

If you do not agree to these Terms, do not use the Platform.

Additional Terms for Drivers: If you are a driver, you are also subject to the Driver Code of Conduct, the Driver Vehicle & Insurance Requirements, and the Driver Earnings & Payment Policy. Where a section applies only to drivers, we say so clearly.

2. Eligibility

All Users: You must be at least 18 years of age to use the Platform. By using the Platform, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

Drivers: In addition to the above, you must meet all eligibility requirements established by Luxridex and all applicable legal requirements for providing transportation services in the jurisdictions where you operate, including valid licensing, vehicle registration, and insurance.

3. Account Registration and Security

All Users:

  • You must provide accurate, current, and complete information during registration and promptly update any information that changes.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must not allow any other person to use your account.
  • You must notify us immediately of any unauthorized use of your account.
  • False, misleading, fraudulent, or materially incomplete information may result in suspension or deactivation.

Drivers: Driver accounts are intended for the approved driver only. You must not allow another person to use your driver account or complete trips on your behalf.

4. The Platform

All Users: Luxridex provides a technology platform that connects passengers with independent drivers. We do not provide transportation services ourselves. Drivers are independent service providers, not employees, agents, or representatives of Luxridex.

Passengers: You may request eligible rides through the Platform. Availability, driver matching, estimated pickup times, and pricing may vary based on the service and operating conditions.

Drivers: You may accept trip requests through the Platform. You must accurately represent trip status, follow the app workflow, and complete trips in accordance with the booking information and applicable Luxridex policies.

5. Pricing and Payment

5.1 Pricing

Where applicable, passengers will be shown the applicable price or price estimate before confirming a ride. Pricing may vary based on demand, distance, time, and other factors. The final pricing rules will define when estimates may change.

5.2 Payment

Passengers: You authorize Luxridex and its payment providers to process applicable charges using the payment method associated with your account. You are responsible for all charges incurred under your account.

Drivers: Luxridex will communicate the applicable driver earnings and fee structure through the driver experience. Driver-facing screens display information relevant to your earnings without exposing Luxridex's confidential internal revenue, margin, or commercial economics. Payment is subject to the payment processor, payout schedule, minimum payout threshold (if any), and adjustments defined in the Driver Earnings & Payment Policy.

5.3 Taxes

Drivers: You are responsible for your own tax obligations and legal compliance to the extent required by applicable law. Luxridex may issue tax documents where required.

6. Cancellations and No-Shows

All Users: Cancellations and no-shows are governed by the current Luxridex Cancellation and No-Show Policy. Repeated misuse of cancellations may be reviewed under the account enforcement policies.

Drivers: Driver cancellations and passenger no-shows are governed by the current Driver Cancellation & No-Show Policy. Deliberate manipulation of trip acceptance or cancellation behavior is prohibited.

Passengers: Passenger cancellations and applicable fees are governed by the Passenger Cancellation & Refund Policy. Any applicable cancellation or no-show fee will be disclosed in accordance with that policy.

7. Driver Code of Conduct

Drivers: You agree to comply with the Luxridex Driver Code of Conduct, which includes:

  • Prioritizing safety at all times.
  • Being respectful and professional with passengers.
  • Never discriminating against any passenger.
  • Protecting passenger privacy.
  • Not soliciting passengers outside approved Luxridex processes.
  • Not manipulating fares, trip status, ratings, or payment records.
  • Not using another driver's account.
  • Keeping required documents current.
  • Maintaining vehicle cleanliness and safety.
  • Reporting incidents promptly.
  • Cooperating with legitimate support and compliance requests.
  • Not retaliating against passengers who submit complaints.
  • Following all applicable laws and Luxridex policies.

8. Passenger Responsibilities and Prohibited Conduct

Passengers: You agree to:

  • Provide accurate pickup and destination information.
  • Treat drivers respectfully.
  • Follow safety instructions.
  • Not damage or misuse the vehicle.
  • Not engage in harassment, threats, violence, discrimination, or illegal conduct.
  • Not attempt to manipulate fares, ratings, or trip records.
  • Follow applicable laws and Luxridex policies.

9. Prohibited Conduct (All Users)

The following conduct is prohibited on the Platform:

  • Fraud or manipulation of trips, fares, ratings, or payments.
  • Unsafe driving (drivers).
  • Harassment, threats, violence, or discrimination.
  • Unauthorized use of another person's account.
  • Providing materially false information.
  • Tampering with the app or platform.
  • Carrying unauthorized persons or items when prohibited by policy or law.
  • Operating under the influence of alcohol or drugs (drivers).
  • Any conduct that creates a material safety, legal, or reputational risk.

10. Safety

All Users: Use the Platform responsibly. Report safety concerns or incidents through the available support channels as soon as reasonably possible. In an emergency, contact appropriate emergency services first, then notify Luxridex as soon as practical.

Drivers: Operate safely and lawfully at all times. Do not operate while impaired. Follow applicable traffic and transportation laws. Report accidents, safety incidents, and material passenger issues promptly.

11. Lost Property

Passengers: If you leave an item in a vehicle, report it through Luxridex support. Luxridex will follow its Lost & Found process for driver/passenger communication, item recovery, and any applicable delivery or handling arrangements. Any applicable costs will be disclosed before charging.

Drivers: If a passenger leaves an item in your vehicle, check your vehicle and cooperate with Luxridex support to facilitate recovery.

12. Account Restriction and Deactivation

All Users: Luxridex may temporarily restrict or permanently terminate access where permitted by applicable law and the applicable agreement, including for fraud, safety risks, serious misconduct, or repeated policy violations.

Drivers: Immediate safety review may be appropriate for serious safety incidents, violence or credible threats, impaired driving, fraud, unauthorized account sharing, material identity or document fraud, or serious legal or regulatory issues.

13. Intellectual Property

All Users: The Platform, including its content, features, and functionality, is owned by Luxridex or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.

14. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." LUXRIDEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Luxridex is a technology platform and does not provide transportation services. Drivers are independent service providers.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUXRIDEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, ARISING FROM YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

16. Indemnification

You agree to defend, indemnify, and hold harmless Luxridex and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform in violation of these Terms or applicable law; (b) your content; or (c) your violation of any third-party rights.

17. Dispute Resolution and Arbitration

17.1 Good Faith Negotiation

The parties shall negotiate in good faith to resolve any dispute arising out of or relating to these Terms for a period of thirty (30) days.

17.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, that cannot be resolved through good faith negotiation, must be submitted to binding arbitration in the DMV Region in accordance with the rules of the American Arbitration Association ("AAA"). The decision of a sole arbitrator shall be binding on all parties. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

17.3 Initiation of Arbitration

Either Party may initiate arbitration by providing written demand for arbitration to the AAA, with a copy to the other Party. The remaining cost of the arbitration, including the fees and expenses of the arbitrator, shall be shared equally by the Parties unless the arbitrator's award provides otherwise.

17.4 Class Action Waiver

All disputes must be brought on an individual basis only. You agree that you may bring claims against Luxridex only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

17.5 Statute of Limitations

Except for claims for indemnification, no action or proceeding against Luxridex may be commenced more than one (1) year after the service which is the basis for the action or proceeding is rendered.

17.6 Opt-Out Right

You may opt out of this arbitration agreement within thirty (30) days of accepting these Terms by sending written notice to Luxridex at legal@Luxridex.com stating your intent to opt out. If you do not opt out within this period, both parties agree to be bound by this arbitration clause.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles, unless applicable law requires otherwise based on your jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Platform after changes constitutes acceptance.

20. Termination

Either party may terminate these Terms at any time. Luxridex may suspend or terminate your access immediately if you violate these Terms, fail to meet eligibility requirements, or for any other lawful reason. Sections that by their nature should survive termination will survive.

21. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable policies, constitute the entire agreement between you and Luxridex.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger or acquisition.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
